Essential Information About Stocks

How to Differentiate Between Registered and Bearer Stocks?

Stock certificates are generally documents representing an equal share of the capital of a joint-stock company, and also a document legally qualifying as a negotiable instrument, prepared in compliance with legal form requirements. In the field of stock certificate printing, TTK (Turkish Commercial Code) also provides some definitions for stock certificates from 399 onwards, and only their qualities and features are specified. A broad and scientific definition is generally made as follows. Stock certificates are documents issued by joint-stock companies or limited partnerships with shares, whose capital is divided into shares, and which can issue stock certificates qualifying as negotiable instruments, prepared in full compliance with legal forms. They also represent certain proportions of other different capital and are certificates that grant their owners partnership rights in those proportions. The most important distinction between these types of shares arises in the transfer of stock certificates. Bearer stock certificates are transferred by endorsement due to separate sources in transfer transactions.

What are Preferred Common Stocks?

At the same time, the transfer of these certificates to the transferee and their registration in the company's share ledger can be made possible in a short period. Unless there is a contrary provision in the articles of association, stock certificates grant equal rights to their owners. These types of stock certificates are called common stocks. However, certain stock certificates may grant privileged rights to their owners, in accordance with the relevant articles, compared to common stocks, in terms of profit participation and voting rights in general assemblies. The articles of association may provide for special dividend distribution at certain rates from profits for preferred shares, and certain privileges may also be granted in the exercise of pre-emptive rights, voting rights, participation in liquidation proceeds, nomination of candidates for board memberships, and in systems of benefiting from facilities. At these stages, obtaining all necessary and curious information and services from expert, experienced, and knowledgeable individuals is among the primary steps.
